Terms & Conditions
Last updated October 29, 2026
These Terms govern your use of Carrier Companion, a transportation management system and a product of 3PL Systems, Inc. ("we", "us"), including the website, web application, customer portal and driver mobile app (the "Service"). By using the Service you agree to these Terms. If you use the Service for a company, you agree for that company, and "you" includes it. If your company has a signed agreement with us, that agreement takes precedence where it differs from these Terms.
1. What the Service is
Carrier Companion is software that helps carriers run their operations. We are not a motor carrier, broker, freight forwarder or other transportation provider, and we do not arrange, perform or insure any shipment. Rates, routes, mileage, transit times and other information in the Service come from you, your partners or third-party sources, and you remain responsible for the decisions you make with them.
2. Eligibility and accounts
- You must be at least 18 years old and have the authority to accept these Terms for yourself or your company.
- Carriers create accounts for their staff, drivers and customers, and are responsible for everyone they give access to. Each person needs their own account; do not share sign-ins.
- Keep your password and sign-in codes private. You are responsible for activity under your account.
- Keep your account information accurate, including your phone number, so codes and messages reach you and no one else.
- Tell us right away at support@carriercompanion.com if you suspect unauthorized use.
3. Your data
- You own the information you put into the Service ("Customer Data"). You give us permission to host, process and display it only to provide and support the Service, as described in our Privacy Policy.
- You are responsible for having the right to enter Customer Data and to share it through the Service, and for its accuracy. This includes giving your drivers the notices and getting the consents the law requires, for example for location sharing.
- You can export your Customer Data while your account is active.
- We keep Customer Data confidential. We do not disclose your rates, pricing, customers or shipment details to other customers or third parties, except as described in these Terms and our Privacy Policy.
- We may create anonymized, aggregated data from Customer Data, with anything that identifies you, your company, your drivers or your customers removed, and use it to analyze, improve and develop our products, including industry benchmarks we may share with others. This data cannot be traced back to you.
4. Connected services and your credentials
- The Service can connect to services you choose, such as accounting software, telematics providers, mapping services, load boards and EDI trading partners.
- When you connect one, you authorize us to access it on your behalf, using the credentials or authorization you provide, to exchange the information that connection needs. We act for you, not for the other service.
- Those services are not ours. Their own terms govern your use of them, and we are not responsible for their availability or for the accuracy of information they provide.
- Information goes to a connected service only when you turn the connection on, and you can turn it off at any time.
5. Acceptable use
You agree not to:
- break the law or anyone's rights using the Service;
- try to access data or accounts that are not yours, or test, probe or break the Service's security;
- interfere with the Service or put an unreasonable load on it;
- copy, resell or reverse engineer the Service, except where the law allows it;
- extract data from the Service with bots, scrapers or similar tools, other than through features or APIs we provide for that purpose;
- use the Service to send spam or unlawful messages;
- upload malicious code, or content you do not have the right to share.
We may suspend access that breaks these rules or puts the Service or other users at risk.
6. Text message program
- Program: Carrier Companion driver sign-in codes.
- What you receive: when you choose "Text me a code" in the driver app, we send one text message with a one-time sign-in code. We send no marketing messages.
- Frequency: one message per sign-in request.
- Message and data rates may apply.
- Opt out: reply STOP at any time. You can still sign in by email or password. Help: reply HELP or email support@carriercompanion.com.
- Mobile carriers are not liable for delayed or undelivered messages.
- See our Privacy Policy for how we handle phone numbers. We never share them for marketing.
7. Service emails
We send the emails the Service needs, such as sign-in and password-reset codes, security notices and important changes to the Service or these Terms. These are part of using the Service. Emails the Service sends for you, such as invoices to your customers, go only to the recipients you choose.
8. Fees
Fees, billing terms and the plan you subscribe to are set out in your order or subscription agreement with us.
9. Features marked Beta or Preview
Some features are marked "Beta" or "Preview". They are provided to try out, may change or be removed, and may be less reliable than the rest of the Service.
10. Our intellectual property
We own the Service, including its software, design, documentation and our trademarks. These Terms give you a limited, non-exclusive, non-transferable right to use the Service while your account is active; they do not transfer any ownership. If you send us feedback, we may use it without obligation to you.
11. Availability and changes
We work to keep the Service available and secure, but it may sometimes be unavailable, for example for maintenance. We may change the Service; we will not materially reduce core features of a paid plan during its current term without notice.
12. Disclaimers
The Service is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not promise that the Service will be uninterrupted or error-free. Information such as mileage, routes, ETAs and rates is an estimate. You remain responsible for your operations, compliance (including hours of service and safety rules), invoices and filings.
13. Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or revenue. Our total liability for any claim relating to the Service is limited to the amount you paid us for the Service in the 30 days before the claim.
14. Indemnification
You will defend and indemnify us against claims by third parties arising from your Customer Data, your use of the Service in breach of these Terms or the law, or your dealings with your drivers, customers and partners, including reasonable attorneys' fees.
15. Termination
You can stop using the Service at any time, as set out in your subscription agreement. We may suspend or end access for material breach of these Terms or for non-payment. When an account ends, you can request an export of your Customer Data within 30 days; after that we delete it as described in our Privacy Policy. Sections that by their nature should continue, such as fees owed, disclaimers, limitation of liability and indemnification, survive termination.
16. Changes to these Terms
We may update these Terms. We will change the "Last updated" date, and for significant changes we will notify carriers by email or in the Service. Continuing to use the Service after a change means you accept it.
17. Governing law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Disputes go to the state or federal courts in Orange County, California.
18. General
- Entire agreement: these Terms, the Privacy Policy and any order or subscription agreement are the whole agreement about the Service.
- Severability: if a part of these Terms is found unenforceable, the rest still applies.
- No waiver: not enforcing a right at one time does not give it up.
- Assignment: you may not transfer these Terms without our written consent. We may transfer them in a merger, acquisition or sale of the business.
- Force majeure: neither party is liable for delays caused by events beyond its reasonable control, such as internet or power failures, natural disasters or government action.
- Relationship: we are independent contractors; these Terms create no partnership, agency (other than as described in section 4) or employment relationship.
